Trade Terms

1. About these terms and who we are

These Trade Terms and Conditions ("Trade Terms") govern every order placed through a Little India Treasures trade account. They apply in place of, and take priority over, our General Conditions of Sale for any purchase made under an approved trade account. Where these Trade Terms are silent on a point, our General Conditions of Sale, Terms of Use, and Privacy Policy apply to the extent they are capable of applying to a business customer.

References to "we", "us", or "our" are references to Treasure & Trove Ltd. References to "you", "your", or "Buyer" are references to the business or individual holding, or applying to hold, a Little India Treasures trade account.

These Trade Terms are intended for businesses only. If you are a private individual wishing to buy for personal use, please shop through the retail Site instead, where our General Conditions of Sale apply.

2. Definitions

"Trade Account" means an account approved by us under Section 3, giving you access to Trade Pricing and the ability to place trade orders.

"Trade Program" means the wholesale arrangement described on our Site (also shown there as "Trade" or "Trade Programme"), under which approved Buyers purchase Goods at Trade Pricing for resale.

"Trade Pricing" means the wholesale price for a product, calculated as the retail price shown on the Site divided by 2.5, unless we agree a different price with you in writing.

"MAP" means our minimum advertised price policy, available on request, which sets the lowest price at which you may advertise our Goods for sale.

"Goods" means any product supplied by us to you under these Trade Terms.

"Order" means a request to purchase Goods placed by you through our trade ordering platform, by email, or by any other method we agree with you in writing.

"Contract" means the binding agreement formed between you and us for the sale of Goods, as described in Section 4.

"Site" means www.shoplittleindia.co.uk.

"Writing" includes email.

3. Eligibility, application, and account approval

3.1 Who can apply. We welcome applications from independent shops, online retailers, interior designers, and other trade buyers, whether you sell from a physical premises, online, or both. You must be trading as a genuine business, whether as a sole trader, partnership, limited company, or other recognised business structure.

3.2 How to apply. You apply for a Trade Account by completing our trade account application form and providing accurate information about you and your business. We may ask for further information or evidence, including proof of trading status, before deciding on your application.

3.3 Our decision. We review every application individually and aim to respond within five working days. We reserve the right to accept or decline any application at our sole discretion, and we are not obliged to give a reason for declining an application, though we will always try to.

3.4 No account until approved. No Trade Account exists, and no Trade Pricing applies, until we have confirmed your application has been approved in writing. Browsing the Site or completing the application form does not, by itself, create a Trade Account or any contractual relationship between us under these Trade Terms.

3.5 One account per business. A Trade Account is issued to a specific business. It is not transferable to another business or individual without our prior written consent.

3.6 Keeping your details current. You must keep the information on your Trade Account accurate and up to date, including your business name, trading address, delivery addresses, and the contact details of anyone authorised to place Orders on your behalf.

3.7 Account access. Once your Trade Account is approved, you log in using a one-time passcode sent to the email address you used when applying. All communication relating to your Trade Account, including order confirmations and payment verification, is sent to that same email address.

4. How a Contract is formed

4.1 Placing an Order. Once your Trade Account is approved, you may place an Order through our trade ordering platform, by email, or by any other method we agree with you in writing. Placing an Order is an offer by you to buy the Goods listed in that Order at Trade Pricing.

4.2 Order confirmation and payment. Once we accept your Order, we send you an order confirmation together with a proforma invoice and our bank details, and ask you to make payment by bank transfer in accordance with Section 5.5. Please reply to the same email thread with a screenshot confirming your payment. Once we have verified receipt of payment, we process your Order for dispatch to the address you have provided.

4.3 No Contract until accepted. No Contract exists until we accept your Order. We may accept an Order by sending you a written order confirmation as described in Section 4.2, or by dispatching the Goods, whichever happens first.

4.4 Our right to decline. We may decline to accept any Order, in whole or in part, including where Goods are unavailable, where we identify a pricing or listing error, where your Trade Account is not in good standing, or where we reasonably suspect the Order has not been placed for genuine trade purposes.

4.5 Separate contracts. Each Order accepted by us forms a separate Contract on these Trade Terms, even where several Orders are placed together or as part of an ongoing trading relationship.

5. Trade pricing and payment

5.1 Trade Pricing. Trade Pricing is calculated as the retail price shown on the Site divided by 2.5. Trade Pricing is exclusive of VAT, delivery, and any duties or taxes described in Section 8, unless we state otherwise in writing.

5.2 VAT. Treasure & Trove Ltd is VAT registered. All prices are exclusive of VAT.

UK deliveries. VAT is added at the prevailing rate.

Deliveries outside the UK. Goods exported outside the UK are zero-rated for VAT, provided we hold valid evidence that the Goods have left the UK, such as shipping and customs documentation. If we are unable to obtain or retain the required evidence of export, or the delivery does not otherwise qualify as a zero-rated export, we reserve the right to charge VAT at the prevailing rate.

5.3 Good Customer Discount. We offer a discount against Trade Pricing, applied automatically, based on your net invoiced spend with us over the preceding 12 months:

Your Good Customer Discount is calculated automatically at the time each Order is placed, based on your rolling 12-month net invoiced spend as at that date. Because this is a rolling calculation, your discount rate may move up or down between Orders as your trading history with us changes, and the rate applied to any given Order is the rate your account qualifies for on the date that Order is placed.

5.4 Minimum order values. Your first Order must meet or exceed £200 in value at Trade Pricing, excluding delivery and VAT. Every subsequent Order must meet or exceed £100 in value at Trade Pricing, excluding delivery and VAT. We may vary these minimums from time to time, and will give you reasonable notice of any change that applies to your account.

5.5 Payment terms. All trade Orders are paid upfront, in full, by bank transfer, before the Order is confirmed and processed for dispatch. We do not currently offer credit accounts, payment on invoice, or part-payment arrangements. Full payment details are provided to you when your Order is confirmed. Goods will not be dispatched, and in most cases will not be reserved, until cleared payment has been received in full.

5.6 Currency and bank charges. Unless we agree otherwise, Orders are invoiced and payable in pounds sterling (GBP). You are responsible for any bank transfer fees, currency conversion costs, or intermediary bank charges incurred in making payment, and payment will only be treated as received once we have received the full invoiced amount, net of any such charges.

5.7 Pricing changes. We may change Trade Pricing at any time. A change in Trade Pricing does not affect an Order we have already accepted.

5.8 Pricing errors. If we discover a pricing error on an Order we have accepted, we will contact you before proceeding, and you may choose to pay the correct price or cancel the affected part of your Order.

6. Trade Account benefits

We currently make the following available to approved Trade Accounts. These are benefits of holding a Trade Account in good standing, offered on an ongoing but non-contractual basis, and we may change or withdraw any of them at our discretion, with reasonable notice where practical:

  • access to Trade Pricing across our full range
  • early access to new pieces before they appear on general retail sale
  • a single point of contact for stock, timing, and order queries
  • online ordering once your account is approved, without the need for repeated back-and-forth

Nothing in this Section 6 forms part of the Contract for any individual Order, and no failure by us to provide a benefit listed here entitles you to cancel an Order, withhold payment, or claim damages, save where that failure also amounts to a breach of an obligation we owe you elsewhere in these Trade Terms.

7. Product information, sourcing, and natural variation

7.1 How we source. Our products are sourced through direct relationships with makers across India, rather than through commissioned mass manufacturing. We describe this on our Site as "treasure hunting". As a result, our range changes over time, and not every product is available on an ongoing or repeatable basis.

7.2 Vintage Kantha Throws. Our Vintage Kantha Throws are hand-stitched from genuinely vintage, recycled saris. Each throw is one of a kind. Once a specific throw is sold, an identical piece will not be available again, and we cannot guarantee that a replacement of a similar colour, pattern, or condition will be available in future. You should factor this into how you list, photograph, and sell these pieces to your own customers.

7.3 Natural variation. Many of our products are hand block printed, hand screen printed, or hand stitched. Colour, pattern placement, stitching, and finish may vary slightly from piece to piece, from the images shown on the Site, and between Orders. This variation is a feature of the handcraft techniques used, not a fault, and does not entitle you to reject Goods under Section 11 unless the variation is such that the Goods are not of satisfactory quality or do not correspond with their description in a material respect.

7.4 Product images and descriptions. We make every reasonable effort to describe and photograph our products accurately, including through our badge system identifying craft tradition and Indian state of origin. Colours may appear slightly different depending on your screen. Weights, measurements, and material compositions given on the Site are approximate unless stated as exact.

7.5 Materials and dyes. All of our products use AZO-free synthetic pigments. We do not make natural dye claims for any product, and you should not represent our products as naturally dyed in your own marketing or product listings.

7.6 Availability and discontinuation. We may discontinue, redesign, or temporarily withdraw any product without liability to you, save in respect of Orders already accepted.

8. Delivery

8.1 How delivery is charged. Delivery is calculated at checkout based on the size and weight of your Order, so you only pay for what it takes to get your Goods to you. Your delivery cost is confirmed before you complete your Order.

8.2 UK delivery. Goods for delivery within the United Kingdom are fulfilled through our third-party logistics provider. We aim to despatch trade Orders within our standard dispatch commitment, though despatch and delivery times for trade Orders may differ from retail timescales given order volumes and customisation.

8.3 International delivery. We ship internationally. If you are outside the United Kingdom, tell us where you are and we will confirm shipping options and costs before you complete your Order.

8.4 Customs, duties, and import taxes. For deliveries outside the United Kingdom, you are the importer of record and are responsible for any customs duties, import VAT, or other charges applied by the destination country. These charges are not included in Trade Pricing or delivery costs quoted by us, and we have no control over them. Please check with your local customs authority before ordering if you are unsure.

8.5 Delivery timescales are estimates. Any delivery date or timescale we give you is an estimate and not a guaranteed delivery date, unless we expressly confirm a date in writing as guaranteed. Time is not of the essence for delivery under these Trade Terms.

8.6 Delivery address. We deliver to the trade or business address confirmed on your Order. You are responsible for ensuring someone is available to receive the delivery, or that appropriate delivery instructions are provided.

8.7 Part deliveries. We may deliver an Order in instalments where this is reasonable, for example where products are ready or available at different times. Each instalment is treated as being delivered under the same Contract, and a delay or defect in one instalment does not entitle you to cancel any other instalment, unless the delay or defect is such as to deprive you of substantially the whole benefit of the Contract.

9. Risk, title, and retention of title

9.1 Retention of title. Title to all Goods supplied remains the property of Treasure & Trove Ltd (trading as Little India Treasures) until paid for in full. Title does not pass to you until full payment has been received, and until then, Goods supplied may not be removed from their normal place of sale except in the normal course of your business.

9.2 Risk. Notwithstanding Section 9.1, all Goods are at your risk once delivered.

9.3 Business failure. Your right to possession of the Goods ceases in the event of business failure, including but not limited to liquidation, receivership, administration, or a creditors' voluntary arrangement, occurring before full payment has been received.

9.4 Right to recover. You grant us and our agents an irrevocable licence to enter your premises to recover our property in the circumstances described in Section 9.3.

9.5 Identifying unpaid goods. Goods identifiable as corresponding to unpaid or partly paid invoices are deemed unpaid for the purposes of this Section 9, whether or not similar Goods were supplied under other, paid invoices.

10. Inspection, shortages, and damaged goods on arrival

10.1 You should inspect your Order as soon as reasonably possible after delivery, and in any event within 7 days.

10.2 If your Order arrives short, damaged, or does not match your order confirmation, please contact us at [email protected] within 7 days of delivery, with your order number, a description of the issue, and photographs where the issue is visible. We will not be able to investigate claims for shortage or transit damage raised after this window, except where the delay in reporting was reasonable in the circumstances.

10.3 Where we confirm that Goods were genuinely short-shipped or damaged in transit, we will, at our discretion, arrange a replacement, a credit against a future Order, or a refund for the affected Goods.

11. Faulty or defective goods

11.1 As a business Buyer, you do not benefit from the consumer cancellation and cooling-off rights set out in our General Conditions of Sale, including the 14-day right to cancel under the Consumer Contracts Regulations. Those rights apply to consumer purchases only. This Section 11 sets out your rights in respect of faulty Goods instead.

11.2 If Goods are found to be faulty, meaning not of satisfactory quality, not fit for purpose, or not as described, other than as a result of natural variation described in Section 7.3, you must notify us within 7 days of delivery.

11.3 Where we agree Goods are faulty, we will, at our discretion, repair, replace, or credit or refund the price of the affected Goods. We will not be liable for faults arising from normal wear and tear, misuse, improper storage, alterations made by you or a third party, or failure to follow the care instructions provided with the Goods.

11.4 Goods must not be returned to us without our prior written agreement and a returns reference. We will confirm the return process, including who bears the cost of return carriage, when we agree a return.

12. Order changes and cancellation

12.1 Because many of our pieces are one of a kind or sourced in limited runs, we are not able to guarantee changes to an Order once it has been accepted, though we will always try to help where we can before an Order has been dispatched.

12.2 You may ask us to cancel an Order before it has been dispatched. We will use reasonable efforts to accommodate this, but we are not obliged to accept a cancellation once picking or packing has begun.

12.3 We may cancel an Order, or any part of it, before dispatch if Goods become unavailable, if a pricing or listing error is discovered, if payment is not received in accordance with Section 5.5, or if we reasonably believe your Trade Account is not in good standing. Where we cancel an Order for these reasons, we will refund any amount already paid for the cancelled Goods.

13. Your Trade Account, suspension, and termination

13.1 Duration. Your Trade Account continues until it is closed by you or by us in accordance with this Section 13.

13.2 Closing your account. You may close your Trade Account at any time by telling us in writing. This does not affect any Order already accepted.

13.3 Suspension or withdrawal by us. We may suspend or withdraw your Trade Account, including your access to Trade Pricing, at any time and at our discretion, where, for example:

  • these Trade Terms, our Terms of Use, or our other policies are not complied with
  • payment is not made in accordance with Section 5.5
  • we reasonably believe your business is reselling Goods in a way that misrepresents them, breaches Section 14 or Section 15, or damages our brand or our relationships with our makers
  • your business ceases trading, or we reasonably believe it has ceased trading
  • we are required to do so by law, or to comply with a request from a payment provider, regulator, or law enforcement body

13.4 Effect of withdrawal. Withdrawal of your Trade Account does not, by itself, cancel any Order already accepted, unless we say otherwise in writing.

13.5 No compensation. Save as set out elsewhere in these Trade Terms, we will not be liable to you for any loss you suffer as a result of the suspension or withdrawal of your Trade Account carried out in accordance with this Section 13.

14. Use of our brand, images, and content

14.1 What we allow. While your Trade Account is active and in good standing, you may use product photography and descriptions we provide, and refer to Little India Treasures and our product and print names, for the purpose of marketing and selling the Goods you have purchased from us, whether online or in a physical premises.

14.2 What we don't allow. You must not, without our prior written consent:

  • alter, crop into a misleading form, or add branding over our product photography in a way that misrepresents the product
  • use our name, logo, or product imagery to suggest an affiliation, partnership, endorsement, or exclusivity that does not exist
  • use our content to sell products other than genuine Goods purchased from us
  • register, or attempt to register, any domain name, social media handle, trademark, or business name incorporating "Little India Treasures", "Treasure & Trove", or any confusingly similar term

14.3 Product claims. When describing our products to your own customers, you should reflect the natural variation described in Section 7.3 rather than presenting our products as uniform or mass-produced, and should not make claims about our products beyond what we say ourselves.

14.4 Ownership. All intellectual property in our brand, product photography, product and print names, and written content remains our property or that of our licensors at all times. Nothing in these Trade Terms transfers any intellectual property right to you.

15. Sales channels, MAP, and exclusivity

15.1 Where you can sell. You may sell Goods purchased under your Trade Account through your own physical premises, your own website, and other online channels you operate, subject to this Section 15 and Section 14.

15.2 Minimum advertised price. All Little India Treasures products listed for sale on any website or platform must comply with our MAP policy, available on request. You must not advertise Goods below the minimum price set out in that policy.

15.3 No drop-shipping. We do not operate a drop-shipping arrangement. You must not list or advertise Goods for sale that you have not already purchased from us and hold, or have on confirmed Order with us for delivery to you.

15.4 Third-party platforms. Listing our products for sale on any third-party selling site or marketplace must be discussed and agreed with us in advance. If you place Orders with us via a third-party wholesale marketplace, that marketplace's own terms will govern that particular transaction to the extent they are not inconsistent with these Trade Terms.

15.5 Exclusivity. We do not offer exclusivity as standard. We can generally offer area exclusivity once your rolling 12-month net invoiced value with us reaches £2,500. Any exclusivity arrangement must be agreed with us in writing.

16. Confidentiality

Trade Pricing, and any non-public information we share with you about our business, our makers, or our operations, is confidential. You must not disclose it to any third party, other than your own employees or advisers who need to know it, without our prior written consent, and must not use it other than for the purpose of your trading relationship with us.

17. Data protection

Customer information is stored by Treasure & Trove Ltd in accordance with UK data protection law. We each agree to comply with applicable data protection law in connection with these Trade Terms. Where we process personal data about you or your business contacts in connection with your Trade Account, we do so as described in our Privacy Policy. Where you receive personal data from us, for example order or delivery information relating to individuals, you must handle that data in accordance with applicable data protection law.

18. Our liability

18.1 Nothing in these Trade Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded under English law.

18.2 Subject to Section 18.1, we will not be liable to you for any loss of profit, loss of business, loss of anticipated savings, or any indirect or consequential loss arising out of or in connection with these Trade Terms or any Contract.

18.3 Subject to Section 18.1, our total liability to you in respect of all Orders in any 12-month period will not exceed the total amount paid by you to us under those Orders in that period.

18.4 We are not liable for any failure or delay in performing our obligations where that failure or delay results from circumstances beyond our reasonable control, as described in Section 19.

19. Force majeure

We will not be in breach of these Trade Terms, and will not be liable for delay or failure to perform our obligations, where that delay or failure results from an event beyond our reasonable control, including natural disaster, industrial action, transport disruption, port or customs delay, or the acts of any government or public authority.

20. General

20.1 Changes to these Trade Terms. We may update these Trade Terms from time to time, for example to reflect changes to our pricing, operations, or the law. We will give you reasonable notice of any material change before it takes effect for future Orders. The version of these Trade Terms in force at the time you place an Order will govern that Order.

20.2 No waiver. If we do not enforce any part of these Trade Terms on one occasion, that does not mean we waive our right to enforce it later.

20.3 Severability. If any part of these Trade Terms is found to be unenforceable, the rest will continue to apply.

20.4 No partnership. Nothing in these Trade Terms creates a partnership, joint venture, or agency relationship between us and you.

20.5 Assignment. You may not assign or transfer your rights or obligations under these Trade Terms without our prior written consent. We may assign or transfer our rights and obligations under these Trade Terms, including to a successor in the ownership of our business.

20.6 Entire agreement. These Trade Terms, together with any Order confirmation and our Privacy Policy, form the entire agreement between us in respect of trade purchases, and supersede any prior discussions, representations, or agreements on the same subject, save for any fraudulent misrepresentation.

21. Governing law and jurisdiction

These Trade Terms, and any Contract formed under them, are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Trade Terms or a Contract will be subject to the exclusive jurisdiction of the courts of England and Wales.
